Financial Impact of Proposed Jigsaw Transaction to Reported FY11 Results (assuming a Q2FY11 close date):

• Q1FY11 (quarter ending April 30, 2010): The acquisition is expected to have no material impact to’s fiscal first quarter results.

• FY11 (year ending January 31, 2011): The transaction will affect’s results in its fiscal second through fourth quarters. GAAP revenue from the acquisition, is expected to be approximately $10M to $15M and non-GAAP revenue, excluding the deferred revenue write-down related to the transaction, is expected to be approximately $17M to $22M. The transaction is also expected to reduce’s GAAP EPS by approximately $0.20 to $0.22, and non-GAAP EPS by approximately $0.06 to $0.08 in FY11.
